GENERAL TERMS AND CONDITIONS OF SALE

1. Scope of Application

These General Terms and Conditions of Sale govern all sales and supplies of products made by SILAC srl through the website, e-commerce platform and any other communication or sales channel.

These Terms apply unless different or additional terms have been expressly agreed in writing between SILAC srl and the customer.

By placing an order, the customer acknowledges and accepts these General Terms and Conditions of Sale.

2. Customer Account

Customers may place orders without creating an account.

Account registration is optional and may also be completed after placing an order, including through the order confirmation email, in order to access order tracking and other available services.

3. Orders and Conclusion of the Contract

An order submitted by the customer constitutes an offer to purchase.

Payment made at checkout does not by itself constitute acceptance of the order by SILAC srl.

The sales contract becomes binding on SILAC srl only upon the issue of an order confirmation.

Before confirming an order, SILAC srl may accept, reject or propose amendments to the order received.

If an order is not accepted by SILAC srl, any amount already paid for that order will be refunded.

4. Prices and Taxes

All prices shown are exclusive of VAT and any other applicable taxes, unless otherwise stated.

Any applicable taxes will be determined according to the destination, customer status and applicable legislation.

Prices may be changed without prior notice until the order has been confirmed.

SILAC srl reserves the right to correct any material or obvious errors relating to prices, descriptions, quantities or product specifications before confirming an order.

If, after confirmation, an unforeseen and significant increase occurs in the supplier's procurement cost, SILAC srl may propose a corresponding price adjustment.

The customer may accept or reject the revised price. If the revised price is not accepted, the affected order or item may be cancelled and any amount already paid for it will be refunded.

5. Payment

Unless otherwise expressly agreed in writing, payment must be made in full in advance using one of the payment methods made available during checkout.

An order will not be processed as a confirmed sale until payment has been successfully completed and SILAC srl has issued the relevant order confirmation.

6. Shipping Costs

Shipping costs are calculated and displayed to the customer before completion of the order and payment.

By submitting the order, the customer accepts the shipping charges shown during checkout.

7. Delivery Times

Any delivery dates or delivery times communicated by SILAC srl are estimates unless expressly confirmed otherwise in writing.

Estimated delivery times do not constitute an essential contractual term.

Any mandatory rights granted by applicable law in the event of delayed or failed delivery remain unaffected.

8. International Sales, Customs Duties and Import Charges

Unless otherwise expressly stated or agreed in writing, any customs duties, import taxes, local taxes, customs clearance charges or other charges imposed in the country of destination shall be borne by the customer.

Such amounts may not be included in the price or shipping costs paid to SILAC srl.

9. Product Availability

Product availability information may change.

Products shown as available for backorder, incoming or otherwise not immediately available may still be purchased where the website allows the order to be completed.

In such cases, the customer is informed before purchase that the product is not immediately available.

Any expected availability or delivery date is indicative unless expressly guaranteed in writing.

If a product subsequently becomes unavailable, SILAC srl will first seek, where reasonably possible, a solution that allows the order to be maintained, including a revised delivery date or an alternative solution.

If no satisfactory solution can be found, the affected order or item may be cancelled and any corresponding amount already paid will be refunded.

Mandatory rights relating to delayed or failed delivery remain unaffected.

10. Order Cancellation

Once an order confirmation has been issued, the customer may not unilaterally cancel the order except where a cancellation or withdrawal right is granted by mandatory law.

Any other cancellation request will be considered on a case-by-case basis and will only be effective if expressly accepted by SILAC srl.

11. Right of Withdrawal Where Applicable

Where mandatory consumer protection legislation grants the customer a statutory right of withdrawal from a distance contract, such right may be exercised within the period provided by applicable law, normally 14 days from receipt of the goods.

The customer must notify SILAC srl of the decision to withdraw within the applicable statutory period.

Unless otherwise required by law, the direct cost of returning goods following a withdrawal or change of mind shall be borne by the customer.

This provision does not affect any more favourable mandatory rights granted by applicable law.

12. Customised and Made-to-Order Products

The statutory right of withdrawal may not apply, where permitted by applicable law, to products made to the customer's specifications, clearly personalised, made to measure or specifically configured according to the customer's instructions.

Such products may not be cancelled or returned for a simple change of mind where the applicable law permits such exclusion.

This does not affect the customer's rights in the event of defective or non-conforming goods.

Products merely procured specifically from a supplier for a customer will be handled according to the applicable circumstances and mandatory legal rights.

13. Returns Outside a Statutory Right of Withdrawal

Returns of correctly supplied, conforming and defect-free products outside any mandatory statutory right of withdrawal are permitted only with the prior express authorisation of SILAC srl.

Unless otherwise agreed, return shipping costs and risks shall be borne by the customer.

Returned products must be complete, undamaged and in a condition suitable for resale, unless otherwise authorised by SILAC srl.

14. Inspection of Goods, Errors and Apparent Defects

The customer is expected to inspect the goods promptly upon receipt.

Any quantity discrepancies, incorrect products, visible damage, apparent defects or other non-conformities reasonably identifiable through a normal inspection should be reported to SILAC srl within 8 days of delivery.

Failure to open or inspect the goods for an extended period does not extend the applicable period for reporting defects, errors or non-conformities that could reasonably have been identified upon delivery.

Any mandatory rights provided by applicable law remain unaffected.

15. Latent Defects

Defects that could not reasonably have been detected through an ordinary inspection at the time of delivery must be reported to SILAC srl within 8 days of their actual discovery and, in any event, within the time limits provided by applicable law.

16. Defective or Non-Conforming Products

Where a product is defective, damaged or does not conform to the order, SILAC srl will handle the claim in accordance with applicable law.

Where SILAC srl is responsible for the defect or non-conformity, the customer will not be required to bear return shipping costs where applicable law provides otherwise.

Depending on the circumstances and applicable legal requirements, SILAC srl may arrange replacement, repair, refund or another appropriate solution.

17. Warranty and Proper Use

The warranty does not cover defects or damage resulting from improper use, incorrect installation, tampering, unauthorised modification, failure to follow instructions or use inconsistent with the product's intended purpose.

Any mandatory warranties provided by applicable law remain unaffected.

18. Limitation of Liability

To the fullest extent permitted by law, SILAC srl shall not be liable for indirect, incidental or consequential losses arising from the supply, delay or use of the products, including, by way of example, machine downtime, loss of production, loss of profit, loss of business opportunities or business interruption.

Nothing in these Terms excludes or limits any liability that cannot legally be excluded or limited.

19. Force Majeure and Circumstances Beyond SILAC's Control

SILAC srl shall not be liable for delays or failure to perform its obligations caused by circumstances reasonably beyond its control.

Such circumstances may include, by way of example, supplier delays or shortages, carrier disruptions, customs delays, strikes, natural disasters, conflicts, governmental measures, interruptions of essential services or other force majeure events.

Where reasonably possible, SILAC srl will inform the customer and seek an appropriate alternative solution.

20. Special Agreements and Amendments

Any special condition, amendment or deviation from these General Terms and Conditions of Sale shall be valid only if expressly confirmed in writing by SILAC srl.

Any specifically agreed written terms shall prevail over these Terms only with respect to the matters covered by that agreement.

21. Amendments to These Terms

SILAC srl may amend or update these General Terms and Conditions of Sale at any time.

Any updated version will apply to orders placed after its publication.

Orders already confirmed will remain subject to the Terms applicable at the time of the relevant order confirmation, unless otherwise agreed in writing.

22. Applicable Law and Jurisdiction

These General Terms and Conditions of Sale are governed by Italian law.

Any dispute concerning their interpretation, validity or performance shall be subject to the exclusive jurisdiction of the Court of Livorno, Italy, except where mandatory law provides for a different jurisdiction.

Any mandatory rights granted to the customer under applicable law remain unaffected.
